1. Agreement to Terms
These Terms & Conditions ("Terms") are a legal agreement between you ("Client," "you," or "your") and Marigold Consultancy ("we," "our," or "us"). By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Provided
Marigold Consultancy offers a variety of consultancy services, including business strategy, financial planning, and market analysis. The specific services we provide to you will be detailed in an engagement letter or contract. We will perform the services with reasonable care and skill.

3. Fees and Payments
Fees for our services will be set out in the engagement letter or contract. You agree to pay all fees due in accordance with the payment terms specified. If you fail to make timely payment, we reserve the right to suspend or terminate the provision of services until the outstanding fees are paid.

4. Confidentiality
We take the confidentiality of your information seriously. Any confidential or proprietary information you provide to us will be kept confidential and will not be disclosed to any third party without your consent, except as required by law or to fulfill our obligations under these Terms.

5. Intellectual Property Rights
All intellectual property rights, including but not limited to reports, analyses, and other deliverables created by Marigold Consultancy, remain our property unless otherwise agreed in writing. You are granted a non-exclusive license to use the deliverables for your internal business purposes only.

6. Limitation of Liability
To the maximum extent permitted by law, Marigold Consultancy will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the use of our services. Our total liability for any claim related to our services will be limited to the amount of fees paid by you for the services in question.

7. Termination and Suspension
Either party may terminate the engagement at any time by providing written notice to the other party. Upon termination, you will be liable for any fees and expenses incurred up to the termination date. We also reserve the right to suspend services in cases of non-payment or other material breaches of these Terms.

8. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Singapore. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

9. Changes to Terms & Conditions
We may modify these Terms from time to time. Any changes will be effective immediately upon posting the revised Terms on our website or communicating them to you. Your continued use of our services after any changes have been made constitutes your acceptance of the revised Terms.
